These Terms of Use (the “Terms”) govern your access to and use of the Site, including any content, functionality, and services offered on or through the Site. By accessing or using the Site, you agree to be bound by these Terms, including any additional terms and conditions and policies referenced herein. If you do not agree with all of these Terms, you must not use the Site.

1. Acceptance of Terms

By visiting, registering for an account on, posting content to, subscribing to services on, or otherwise accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

  • You must be at least 18 years of age to register for an account or use the services in any manner. By using the Site, you represent and warrant that you are at least 18 years old.
  • If you are using the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

Contractation.com is an online platform (the “Services”) that enables users to:

  1. Subscribe to various service tiers or membership plans (the “Subscription Services”).
  2. Post projects for bidding, collaboration, or for finding independent contractors/freelancers.
  3. Search and browse through posted projects.
  4. Access any other features, content, or tools that Contractation.com makes available.

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

4. Account Registration

  • To access certain features of the Site, you may be required to create an account and provide information about yourself (such as name, email, and payment information).
  • You agree to provide accurate, current, and complete information during the registration process, and to update your information to keep it accurate, current, and complete.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

5. Subscription and Payment

  1. Subscription Plans: We may offer different subscription tiers or membership levels (“Subscription Plans”) with varying levels of access, features, or benefits. Each plan will be described on the Site with the corresponding fees.
  2. Billing and Payment:
    • By selecting a Subscription Plan, you agree to pay all applicable fees at the prices then in effect for your plan, and you authorize us (or our third-party payment processor) to charge your chosen payment method.
    • Subscription fees are billed in advance and are non-refundable except as required by law. We reserve the right to change our Subscription Plans or adjust pricing for our services at our sole discretion. Any pricing changes will take effect following notice to you.
  3. Auto-Renewal: Unless otherwise stated, your subscription will automatically renew at the end of the applicable subscription term, unless you cancel it before the renewal date.
  4. Cancellation: You may cancel your subscription at any time in your account settings or by contacting us. However, no refunds will be provided for previously paid fees.

6. User Content and Posting Projects

  • You may have the ability to post or upload projects, descriptions, or other content (“User Content”). You are solely responsible for your User Content.
  • You represent and warrant that your User Content does not violate any law or infringe upon any third-party right (including intellectual property rights, privacy rights, or publicity rights).
  • We reserve the right, but do not have the obligation, to review or remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

7. License to User Content

By posting or uploading User Content, you grant Contractation.com a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sub-licensable license to use, copy, modify, distribute, publicly display and perform, and create derivative works of your User Content in connection with operating and providing the Services.

8. Intellectual Property Rights

  • All content and materials on the Site, including text, graphics, logos, icons, images, and software (collectively, the “Site Content”) are the property of Contractation.com or its licensors and are protected by intellectual property laws.
  • You may not use, reproduce, distribute, modify, or create derivative works of the Site Content without our express written permission, except as expressly permitted by these Terms.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Site for any illegal purpose or in violation of any local, state, national, or international law.
  • Accessing or tampering with non-public areas of the Site or our computer systems.
  • Interfering with or disrupting the access of any user, host, or network, including sending a virus, overloading, flooding, spamming, or mail-bombing the Site.

10. Disclaimer of Warranties

WE DO NOT GUARANTEE THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SITE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONTRACTATION.COM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Contractation.com, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) resulting from or arising out of your violation of these Terms or your use of the Site.

13. Termination

  • We may terminate or suspend your access to the Site immediately, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion.
  • Upon termination, your right to use the Site will cease immediately. All provisions of the Terms that by their nature should survive termination shall survive.

14. Governing Law and Dispute Resolution
